Terms of Service

This Agreement is between Alsa LLC (“Licend,” “we,” “us”), operating from Dubai, UAE, and the individual or legal entity that subscribes to the All-Access Operator Membership (the “Operator,” “you”).

The All-Access Operator Membership is a monthly subscription that grants you the non-exclusive right to run every software product listed in our marketplace under your own brand in your own country, for the duration of your active subscription. Included: hosting, product updates, the operator dashboard, training content, and access to our operator community.

New products added to the marketplace during your active subscription are included at no additional cost. Retired products are grandfathered for a minimum of six months following retirement, giving you time to migrate clients or wind down.

The list price is $249 USD per month (or the equivalent in your local billing currency per our published currency table). Billing recurs monthly from the date you complete checkout. All prices are exclusive of applicable taxes (VAT, GST, sales tax) which are added at checkout per your billing country.

Cancel any time. Cancellation takes effect at the end of your current billing period. You retain full operator access through the end of the paid period. No pro-rated refunds outside the money-back window below.

30-day money-back guarantee. If within the first 30 days after your first successful payment you request a full refund in writing to hello@belicend.com, we will refund that payment in full, no questions asked. One refund per Operator.

Pause. You may pause billing for up to 30 days once per year via the dashboard. During pause, operator access is read-only and client billing continues.

Failed payments. If a recurring payment fails, you enter a grace period of seven (7) days during which operator access continues. If not resolved, products are paused and, after 30 days, the subscription is cancelled.

For every paying end-client you onboard to a marketplace product, Licendroutes 85% of the net revenue (after payment processing fees and refunds) to your Stripe Connect account and retains 15%. Founding Operators (those who held a legacy per-country license) are grandfathered at a 90% operator / 10% Licend split.

Transfers are reconciled monthly and routed to your Stripe Connect Express account within 10 business days of month-end. You are responsible for your own tax obligations on the share you receive.

Licend and its licensors retain all intellectual property rights in the software products, training materials, and platform code. You receive a limited, non-exclusive, non-sublicensable license to market, resell, and operate the products under your own brand for the duration of your active subscription in your declared country of operation.

You retain ownership of your brand assets (logo, domain, brand name) and all client relationships you originate.

Your end-clients (the shops, clinics, or businesses that pay you for access to a product) are your clients. You are the data controller for their data; Licend is the data processor, operating under a Data Processing Addendum incorporated by reference. [LEGAL REVIEW: DPA template]

On termination, your client data is available for export for 90 days, after which it is deleted in accordance with our privacy policy.

You agree not to: (a) resell the operator membership itself to third parties; (b) use products for illegal activity, spam, or content that violates the rights of others; (c) attempt to reverse-engineer the underlying product code; or (d) offer a product in a country not covered by your declared territory without prior written consent.

Products are provided “as is.” We maintain reasonable uptime targets but do not warrant uninterrupted service. To the maximum extent permitted by law, all implied warranties are disclaimed. [LEGAL REVIEW: jurisdictional limits]

Our aggregate liability to you for any claim arising from this agreement is limited to the total subscription fees you paid in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or loss of business.

Either party may terminate this agreement with 30 days written notice. We may terminate immediately for material breach (including non-payment, fraud, or breach of the acceptable-use section). On termination, your right to operate the products ends and client relationships transition per section 6.

This agreement is governed by the laws of Dubai, UAE without regard to conflict-of-law rules. Disputes are resolved by binding arbitration in Dubai, UAE. [LEGAL REVIEW: substitute governing jurisdiction and arbitration forum per counsel]

We may update these terms from time to time. Material changes are announced at least 30 days in advance by email. Continued subscription after the effective date constitutes acceptance. You may cancel before the effective date if you disagree.
